Unless otherwise specified, the following general terms and conditions apply.

Validity period and acceptance of offers

Submitted offers remain valid until the specified expiry date. The client must accept the offer in writing or by email. If the contract is not sent on time, the contractor reserves the right to reject the order. If the project or individual project components are delayed, deadlines and the contract period shall be postponed accordingly. The contractor reserves the right to charge the client for additional expenses incurred as a result of delays. The price quoted for the service also includes two rounds of revisions on the part of the contractor. If more than two rounds of revisions are required, the contractor is free to proactively approach the client and/or to invoice separately for any expenses not included in the price. The contractor accepts no liability for project delays and any resulting consequences. The services specified in the offer (services, remuneration, etc.) must be paid for by the respective party in a timely manner. Any changes and/or additions to these provisions must be made in writing to be valid.

Preise und Zahlungskonditionen

Die Preise für die Dienstleistungen des Auftragnehmers richten sich nach dem zugrundeliegenden Vertrag zwischen den Parteien. Alle Preisangaben verstehen sich exkl. Mehrwertsteuer. Die Rechnungen sind 14 Tage nach Erhalt durch den Kunden zur Zahlung fällig. Erstreckt sich die Erarbeitung der vereinbarten Leistungen über einen längeren Zeitraum, so steht es dem Auftragnehmer offen, dem Auftraggeber Teilzahlungen über die bereits erbrachten Teilleistungen in Rechnung stellen.

Duties and responsibilities of the contractor

The contractor is free to engage third parties to carry out tasks, unless there are important reasons why the agency must carry them out or the client expressly requests this. The contractor shall also regularly inform the client about the progress of the project and the relationship between work progress and accrued costs. If difficulties arise that call into question the contractual fulfilment or could lead to inappropriate solutions, the contractor is obliged to inform the client immediately.

Duties and responsibilities of the client

The client is obliged to pay the specified remuneration for the services to be provided by the contractor in each individual case. The client shall also provide the contractor with all data and documents required for the implementation of the project free of charge and shall inform the contractor in good time of any special technical requirements and any legal, official or other regulations, insofar as these are relevant to the fulfilment of the contract and the use of the products.

Warranty and Liability

The client must continuously check that the services provided comply with the contract. Complaints must be made immediately. Hidden defects must be reported immediately upon discovery. The contractor undertakes to remedy any defects reported in good time immediately. The contractor's liability for damages of any kind is limited to the respective order value, to the extent permitted by law. Liability for slight negligence is excluded.

Fiduciary duty

The contractor shall protect the interests of the client to the best of their knowledge and belief. All information provided by the client shall be classified as confidential and is therefore subject to secrecy.

Advertising / PR

Der Auftragnehmer ist berechtigt, für eigene Werbezwecke über die Zusammenarbeit mit dem Auftraggeber zu berichten (z.B. auf der Website, via LinkedIn). Vor der Publikation jeglicher Inhalte unterbreitet der Auftragnehmer dem Auftraggeber diese vorgängig zur Kontrolle.

Copyright and Intellectual property

The intellectual property rights to the work results created by the contractor and the right to further use shall remain with the contractor in all cases. Likewise, the contractor reserves the right in all cases to use ideas, concepts and procedures that it has contributed or acquired alone or together with the client when providing services of a similar nature for other clients.

Applicable law / Place of Jurisdiction

The contracts concluded between the client and the contractor are subject to Swiss law. The exclusive place of jurisdiction for all disputes between the client and the contractor is 8001 Zurich.
